3. User Eligibility and Registration

3.1 Healthcare Providers

Healthcare providers must be licensed, qualified professionals with valid credentials to use our Services. You represent and warrant that you have all necessary licenses and certifications required in your jurisdiction.

3.2 Patients

Patients must be 18 years or older, or have parental/guardian consent. You agree to provide accurate and complete information when using our Services.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

4. Healthcare Provider Responsibilities

Healthcare providers using SanosMD agree to:

• Maintain appropriate professional licenses and malpractice insurance
• Exercise independent clinical judgment and verify all AI-generated content
• Comply with all applicable healthcare laws and regulations
• Maintain patient confidentiality and HIPAA compliance
• Review and approve all automated documentation before finalization
• Ensure proper patient consent for telemedicine services

5. AI-Powered Automation

Our AI tools are designed to assist healthcare providers, not replace professional medical judgment. Healthcare providers are solely responsible for:

• Verifying the accuracy of AI-generated documentation
• Making all final clinical decisions
• Ensuring appropriateness of billing codes generated by our system
• Patient care outcomes and medical decisions

SanosMD makes no representations that AI-generated content is error-free and expressly disclaims liability for clinical decisions based on automated outputs.

6. HIPAA Compliance

SanosMD is HIPAA compliant and acts as a Business Associate to covered entities. Healthcare providers must execute a Business Associate Agreement (BAA) before using our Services. We implement appropriate safeguards to protect Protected Health Information (PHI).

7. Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Use automated systems to access the Services without authorization
• Share PHI in violation of HIPAA or other privacy laws
• Reverse engineer, decompile, or disassemble our software
• Remove or modify any copyright or proprietary notices

8. Intellectual Property

All content, features, and functionality of the Services, including software, text, graphics, logos, and AI models, are owned by SanosMD and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Payment and Billing

Fees for our Services are as agreed in your subscription or service agreement. You agree to pay all charges incurred under your account. We reserve the right to modify pricing with reasonable notice. Late payments may result in service suspension.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SANOSMD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANOSMD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SANOSMD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SanosMD and its affiliates from any claims, damages, losses, liabilities, and expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or rights of third parties; or (d) clinical decisions made using our Services.

13. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access to the Services at any time for violations of these Terms or for any other reason. Upon termination, your right to use the Services ceases immediately. Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination.

14. Data Backup and System Availability

While we maintain regular backups and strive for high availability, you are responsible for maintaining independent backups of critical patient data. We do not guarantee uninterrupted service and are not liable for data loss due to system failures or outages.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution
